This book is an endeavour to comprehensively analyse the legal and procedural aspects associated with Board and General Meetings under the Companies act, 2013 and SEBI (LODR) regulations, 2015. The procedural aspects and the legal interpretations given by various judicial forums have been incorporated to further explain the intent of law. Secretarial Standards, issued by ICSI which are an integral tool for explaining the provisions of law have been duly explained under each topic for the benefit of the reader. An attempt has been made by the author to follow the practical approach of the various procedures involved for Board and Shareholders meetings to facilitate the professionals in understanding the various concepts of the law with clarity and discharge their responsibilities effectively. About the Author
Amitava Banerjee is a qualified Company Secretary. He also holds a master’s degree in Commerce and a Diploma in Business Laws from NUJS, Kolkata. He has an illustrious industry experience with ITC Limited, Eros Group, Moser Baer and Isolux Corsan. He has been associated with consulting firms like Vaish Associates & Advocates and Grant Thornton, India. His inclination and passion for research and policy making had given him an opportunity to work with Confederation of Indian Industry (CII) as Deputy Director, Corporate Governance. Currently he serves as a Consultant to National Foundation for Corporate Governance (NFCG), a PPP set up in the year 2003 by the Ministry of Corporate Affairs (MCA). The other eminent partners at NFCG are Confederation of Indian Industry (CII), Institute of Company Secretaries of India (ICSI) and Institute of Chartered Accountants of India (ICAI), Institute of Cost Accountants of India (ICAI) National Stock Exchange (NSE), Indian Institute of Corporate Affairs (IICA). His forte lies in corporate compliance management, checklists, reports, project consulting and paralegal support. He is also adept in drafting position papers, newsletters, writing articles, backgrounders and acting as Secretariat to strategic ministerial committees.
